Sex.com Sale Stalled by Involuntary Bankruptcy Filing

A day before it was set to go under the gavel, the sale of Sex.com stalled. The domain name was set to be auction, but an involuntary Chapter 11 filing by three of the company's creditors has put the brakes on the bidding. Escom LLC, which owns Sex.com, his on the hook, it seems, for an eight-figure tab.

The creditors' petition, filed in U.S. Bankruptcy Court shortly after noon yesterday by Washington Technology Associates, iEntertainment, Inc. and AccountingMatters.com LLC, claims that Sex.com owes them $10,092,118.68, according to a report by adult entertainment industry trade publication AVN (NSFW).

Lion's Gate Buoyed By Hostile Icahn Bid

LGF logoLions Gate Entertainment (LGF - option chain) shares are rising this morning after activist investor Carl Icahn announced a hostile takeover bid for the company. LGF had rejected his offer to take a larger stake in the company earlier in the week. He had made a tender offer of $6 per share, which he declined to raise this morning. A bid like this will usually create a floor for a stock's price, which can make an options trade with a bullish stance safer. If you think that the stock won't fall by too much in the coming months, then now could be a good time to look at a bullish hedged trade on LGF.

LGF opened this morning at $6.24. So far today the stock has hit a low of $5.86 and a high of $6.32. As of 12:15, LGF is trading at $60.01 up 0.04 (0.7%). The chart for LGF looks bullish.

State Farm Planning Monster Cat Bond

Merna Re, the largest catastrophe bond of all time, is set to mature in June, and State Farm is already putting together its replacement, the creatively named Merna Re II. The successor, planned for issuance in April, is said to be for $400 million in risk capital, though investor demand could push it as high as $700 million. This still pales in comparison to the $1.2 billion that the original brought in the door.

If State Farm is able to stimulate demand for Merna Re II, which would protect the company from non-California earthquake risk in the U.S., it will be third cat bond to come to market in 2010, which is expected to be a strong year for this form of risk transfer. The cat bond market fell silent after the near-collapse of American International Group (AIG) in September 2008 but was still the third busiest in terms of capital issued in the history of the cat bond market. Heading into 2009, prospects for the cat bond space seemed uncertain, but a robust fourth quarter eventually resulted in a year-over-year increase, driven mostly by repeat issuers.

BroadSoft Calls Up an IPO

This week, telecom software provider, BroadSoft, filed for an IPO to raise $103.5 million. And the company will certainly need the capital. After all, competitors include biggies like Cisco (CSCO) and Huawei Technologies.

Founded more than ten years ago, BroadSoft is now a top-provider of Voice over IP (VoIP) applications for residential and business customers. Services include things like: private branch exchanges (PBXs), video calling, unified communications and converged mobile and fixed-line services.

From Bermuda: Insurers Need to Ink Mergers with Caution

Mergers are always a tricky business, and for an insurance industry with excess capital available, they're likely on the agenda for the coming year. Before giving in to the urge to merge, several major industry executives cautioned at the World Insurance Forum, it's crucial to make sure that the interests of both merging companies are aligned.

According to Brian Duperreault, president and CEO at Marsh & McLennan (MMC), "You are always going to run into problems during a merger so you need to make sure your interests are aligned. If you are divided when you start you will be still be divided at the end. Aligned management interest is what makes for a successful acquisition."

Leibovitz Leaves Art Capital for Colony

Art Capital Group and Annie Leibovitz have moved on from each other. Last week, the photographer found something of an angel in private equity firm Colony Capital LLC.

Leibovitz owed $24 million to the art investment bank last September, when she restructured her debt for terms that were not disclosed. The private equity firm, which worked with Michael Jackson in the past, settled the debt to Art Capital Group on March 8, 2010, and announced a "new partnership" with Leibovitz. None of the terms are being disclosed ... as usual.

Sensata Gives IPOs a Much-Needed Charge

All in all, it's been a tough IPO market this year. Even top companies have had trouble pulling off their offerings.

But recently, there have been some signs that things are improving. Just look at today's public offering of Sensata Technologies (ST). The company issued 31.6 million shares at $18 (the price range was $18-$20). So far in today's trading, the stock is up 3.4%.

BP Purchases $7 Billion in Assets from Devon Energy

Thursday morning, it was announced that British petroleum firm BP (BP) will pay $7 billion for a group of Brazilian assets held by American firm Devon Energy (DVN). In exchange, Devon will receive half of BP's Kirby assets in Alberta, Canada for $500 million.

BP believes the its entry into Brazil will "add a major position in another attractive deep-water basin." BP will dish out $7 billion for interests in 10 exploration blocks in Brazil, 240 leases in the U.S. Gulf of Mexico deep water, and a nearly 6% stake in an Azerbaijan development. As a result of the deal, BP will have complete control of the Kaskida field in the Gulf of Mexico.

Abbott Labs to Acquire Facet Biotech

After the closing bell Tuesday, Abbott Laboratories (ABT) announced that it will acquire Facet Biotech (FACT) for $27 per share. The transaction carries a total price tag of $722 million. Including $272 million of FACT's cash and securities, the net cost turns out to be roughly $450 million.

Back in December, FACT turned down Biogen Idec's (BIIB) unsolicited takeover offer of $17.50 per share. The deal is expected to close in the second quarter, as both boards of directors have approved the deal.

Cat Bond Impact from Chile Unlikely, but Future to Change

Despite the magnitude of the recent earthquake in Chile – in both physical and financial terms – it's unlikely to trigger a catastrophe bond payout. Catastrophe modeling firms AIR Worldwide and EQECAT offer a range of estimated insured losses of $2 billion to $8 billion, though the dust is still settling. According to insurance securitization blog Artemis.bm, "A similar quake in the right area of the U.S. or Japan would most certainly have triggered a cat bond."

Though there has been cat bond activity in Latin America, none have been issued in the region to cover earthquake risk. Low rates of insurance penetration are likely to keep what will already be a costly situation for insurers and reinsurers from being even worse -- i.e., because not much coverage has been written in Chile.

Before the Bell: Futures Higher Following AIG Deal

U.S. stock futures were only slightly higher Monday morning despite a fresh batch of deal news as investors took a breather from the rally on Friday brought on by nonfarm payroll data that took the Nasdaq to 18-months high.

This morning, however, with no major economic data out, investors are left to ponder the recent AIG deal. American International Group (AIG) said it will sell its overseas life and health insurance unit, Alico, for $15.5 billion to MetLife (MET) -- $6.8 billion in cash, and the rest in stock and equity units. This sale follows last week's sale of AIA to Prudential PLC (PUK), as AIG attempts to repay billions in government aid. The cash portion of the sale will be used to reduce a $47.9 billion investment in AIG by the Federal Reserve Bank of New York.

MetLife to Spend $15 Billion on AIG Life Division

It looks like American International Group (AIG) has found another $15.5 billion. The insurance company is selling its American Life Insurance Co. division to MetLife (MET) for $6.8 billion in cash and $8.7 billion in equities. Approximately $9 billion from this sale will be used to repay funds provided by the Federal Reserve, totaling $182.3 billion. This follows the announcement of Prudential's $35.5 billion designs on AIG's Asian operations.

Robert Haines, analyst at CreditSights, tells Bloomberg News, "This is a sizeable transaction." He continues, "It demonstrates they're making some tangible progress on their plan to divest assets."

Rumor has it that Tiger Woods has started to brush up on his game a bit and some of golf's greats believe that he will be playing in the Masters. If, and when, he returns, Tiger will be a little lighter in the sponsorship arena, what with AT&T (T), Accenture (ACN), and PepsiCo's (PEP) Gatorade all having ended their sponsorship deals with Tiger.

Fear not though, Tiger is making enough money that he can actually turn down sponsors. Reportedly, an Irish bookie -- Paddy Power (awesome name) -- has made a $75 million offer to sponsor Tiger over the next five years.
